Terms of Service

1. Acceptance of Terms

By accessing or using MedOps ("the Platform"), you agree to be bound by these Terms of Service and to enter into a legally binding agreement with Meraki Group Ltd ("Meraki Group", "we", "us", "our"), the company that owns and operates the MedOps platform. If you represent a hospital, clinic, or healthcare organisation ("Organisation"), you warrant that you have authority to bind the Organisation to these Terms. If you do not agree, do not use the Platform.

2. Description of Service

MedOps is a product of Meraki Group Ltd. It provides a cloud-based clinical management platform including electronic health records, patient intake automation, appointment scheduling, billing management, and AI-assisted administrative tools. Features vary by subscription plan. Meraki Group reserves the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Account Registration & Security

You must provide accurate registration information and maintain the confidentiality of your credentials. You are responsible for all activity occurring under your account. You must notify Meraki Group immediately at security@medops.io of any unauthorised access. Meraki Group may suspend accounts suspected of compromise.

4. Healthcare Data & HIPAA/NDPA/GDPR

Meraki Group Ltd processes Protected Health Information (PHI) on behalf of MedOps customers as a Business Associate under HIPAA and as a Data Processor under GDPR and the Nigeria Data Protection Act 2023. You, as the Covered Entity or Data Controller, remain responsible for ensuring lawful basis for processing patient data. A Business Associate Agreement (BAA) or Data Processing Agreement (DPA) is available on Professional and Enterprise plans and must be executed before processing PHI.

5. Permitted Use

The Platform may only be used by licensed medical facilities and their authorised personnel. Prohibited uses include: reverse engineering the Platform, sharing credentials, uploading malware, scraping data, or using the Platform for non-healthcare commercial purposes. Automated access via bots is prohibited without written consent from Meraki Group Ltd.

6. Subscription, Billing & Cancellation

Paid subscriptions are billed monthly or annually in advance. Prices are shown on the Pricing page and may change with 30 days' notice. Cancellations take effect at the end of the current billing period. No refunds are issued for partial periods. Failed payments result in service suspension after a 7-day grace period. All billing is managed by Meraki Group Ltd.

7. Intellectual Property

Meraki Group Ltd owns all rights to the MedOps platform, its code, design, and branding. You own all clinical data you upload. You grant Meraki Group a limited licence to host and process your data solely to deliver the Platform services. Meraki Group will not use your clinical data for training AI models without explicit opt-in consent.

8. Limitation of Liability

To the maximum extent permitted by law, Meraki Group Ltd's total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. Meraki Group is not liable for indirect, incidental, or consequential damages including clinical decisions made using Platform data. The Platform is a management tool, not a medical device, and does not provide clinical diagnosis or treatment recommendations.

9. Termination

Either party may terminate the agreement with 30 days' written notice. Meraki Group Ltd may terminate immediately for material breach, non-payment, or violations of these Terms. Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted in compliance with our data retention policy.

10. Governing Law

These Terms constitute an agreement with Meraki Group Ltd and are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved first through good-faith negotiation, then by binding arbitration in Lagos, Nigeria under the Arbitration and Conciliation Act. Nothing prevents either party from seeking injunctive relief from a court of competent jurisdiction.

11. Changes to Terms

Meraki Group Ltd may update these Terms at any time. We will notify you by email or in-app banner at least 14 days before changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
